By downloading, installing, or using NudgeNote (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not use the App.

2. Description of Service

NudgeNote is a relationship management application that helps you remember to stay in touch with contacts through scheduled reminders ("nudges"). The App:

  • Stores data locally on your device
  • Provides notification reminders
  • Integrates with your device's contacts and messaging apps
  • Offers optional premium features through in-app purchases

3. Privacy and Data

Your privacy is paramount. As detailed in the Privacy Policy:

  • All data is stored locally on your device
  • No personal information is collected or accessed
  • You maintain complete control over your data

4. User Responsibilities

You agree to:

  • Provide accurate information when using the App
  • Use the App in compliance with all applicable laws
  • Respect the privacy and rights of your contacts
  • Not use the App for spam, harassment, or illegal purposes
  • Not attempt to reverse engineer or hack the App
  • Not violate any Apple App Store terms

5. Acceptable Use

You may NOT use NudgeNote to:

  • Send harassing, abusive, or threatening messages
  • Violate any person's privacy rights
  • Engage in any illegal activities
  • Spam or send unsolicited messages
  • Impersonate others
  • Violate intellectual property rights

6. Subscriptions and Payments

Free Version

  • Includes core features with a limit of 3 contact groups
  • No payment required
  • May be discontinued at our discretion

NudgeNote Pro

  • Priced at $5/year (price subject to change)
  • Billed through Apple App Store
  • Auto-renews unless cancelled
  • Cancel anytime through App Store subscriptions

Payment Terms

  • All payments processed by Apple
  • Refunds subject to Apple's policies
  • We don't store payment information
  • Prices may vary by region

7. Intellectual Property

  • NudgeNote and its original content, features, and functionality are owned by NudgeNote
  • The App is protected by copyright, trademark, and other laws
  • You may not copy, modify, distribute, sell, or lease any part of our App
  • Feedback you provide may be used without compensation

8. Third-Party Services

The App integrates with:

  • Apple iOS services (Contacts, Messages, Notifications)
  • Apple StoreKit for payments
  • These services have their own terms which you must also accept

9. Disclaimers

THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • AVAILABILITY OR ACCURACY

We specifically disclaim liability for:

  • Missed nudges or notifications
  • Lost data due to device issues
  • Relationship outcomes from using the App
  • Technical issues or bugs

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our liability is limited to the amount you paid for the App
  • We're not liable for indirect, incidental, or consequential damages
  • We're not responsible for lost profits or data
  • These limitations apply even if we knew of possible damages

11. Indemnification

You agree to indemnify and hold harmless NudgeNote from any claims, damages, or expenses arising from:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any rights of another party

12. Changes to Terms

We may modify these Terms at any time. Changes will be effective when posted. Your continued use of the App after changes constitutes acceptance of the modified Terms.

13. Termination

We may terminate or suspend your access to the App immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the App will cease immediately.

14. Governing Law

These Terms shall be governed by the laws of the United States and the State of California, without regard to conflict of law provisions.
